1. Introduction and Acceptance
These Terms and Conditions constitute a legally binding agreement between Navion Fx Limited and clients who use the trading platform, website, and related services. By registering for an account or using the services, clients acknowledge that they have read, understood, and agree to be bound by these Terms and Conditions.
If clients do not agree to these Terms and Conditions, they must not use the services. Continued use of the platform constitutes acceptance of any amendments or updates to these terms.
2. Definitions
Company: Navion Fx Limited, a company registered in Saint Lucia with registration number 2025-00350.
Client: Any individual or entity that registers for and uses the services provided by the Company.
Platform: The trading platform, website, mobile applications, and all related systems operated by the Company.
Services: All trading, account management, and related services provided by the Company.
Account: The trading account opened by a client with the Company.
CFD: Contract for Difference, a derivative instrument traded on the Platform.
Liquidity Provider: The third-party institution that receives, manages, and processes client funds and trading positions in connection with the Services. The Company does not itself hold or custody client funds.
3. Eligibility and Account Opening
To open an account and use the services, clients must meet the following requirements:
Age Requirement: Clients must be at least 18 years of age or the age of legal majority in their jurisdiction, whichever is higher.
Legal Capacity: Clients must have full legal capacity to enter into binding contracts under applicable laws.
Jurisdictional Restrictions: Services are not available to residents of restricted or sanctioned jurisdictions, or to residents of any other jurisdiction the Company designates from time to time. The current list of restricted jurisdictions is set out at the end of these Terms and Conditions and is reviewed and updated periodically.
Accurate Information: Clients must provide true, accurate, current, and complete information during the registration process and maintain such information throughout the relationship.
Verification: Clients must complete the KYC verification process and provide all required documentation before trading activities can commence.
Suitability: Before opening an account, clients will be asked to confirm their trading experience and understanding of the risks described in Section 5. This confirmation is a self-declaration by the client and is not a substitute for the client's own assessment of whether trading is suitable for them.
One Account Per Person: Each client is permitted to hold only one account unless specifically authorized by the Company.
4. Account Security
Clients are responsible for maintaining the confidentiality and security of their account credentials, including username, password, and two-factor authentication codes. Clients must:
Not share account credentials with any third party
Notify the Company immediately of any unauthorized access or security breach
Use strong passwords and enable two-factor authentication
Log out of the Platform after each session, especially when using shared devices
Ensure all account activities are conducted personally or by authorized representatives
The Company shall not be liable for any losses arising from unauthorized use of client accounts, except where such unauthorized use results from the Company's gross negligence or willful misconduct.
5. Risk Warning and Financial Advice
Trading Risks: Trading in leveraged products such as Forex, CFDs, and other financial instruments involves substantial risk of loss. Clients may lose all invested capital. Leverage can magnify both gains and losses.
Market Volatility: Prices of financial instruments can be volatile and subject to rapid changes. Past performance is not indicative of future results.
No Guarantees: The Company does not guarantee profits or protection against losses. All trading decisions are made solely at the client's discretion and risk.
No Financial Advice: The Company does not provide financial, investment, or trading advice. All content provided is for informational purposes only. Clients should seek independent professional advice before making trading decisions.
Suitability Assessment: Clients are responsible for assessing whether trading is suitable for their financial situation, investment objectives, and risk tolerance.
6. Deposits and Withdrawals
Fund Handling: Client funds are received, held, and managed by the Company's Liquidity Provider, and not directly by the Company. The Liquidity Provider remits amounts owed to the Company in connection with the Services. Clients should refer to the Risk Disclosure Statement for further detail on how this arrangement affects the treatment of client funds.
Deposits:
All deposits must originate from accounts held in the client's name
Third-party deposits are strictly prohibited
Processing times vary by payment method: instant to 5 business days
The Company reserves the right to refuse deposits from unverified sources
Minimum deposit amounts apply as specified on the Platform
Withdrawals:
Withdrawals can only be made to accounts in the client's name
Processing times range from 1 to 5 business days depending on the payment method
Where the Company has not yet received the corresponding funds from the Liquidity Provider or a payment processor, withdrawal processing may be delayed until those funds are received; the Company will inform the client if this occurs and is not liable for delays caused by a Liquidity Provider or payment processor outside its control
The Company may request additional verification before processing withdrawals
Withdrawal fees may apply depending on the payment method
Minimum withdrawal amounts apply as specified on the Platform
Anti-Money Laundering Compliance: All deposit and withdrawal transactions are subject to AML/CTF verification procedures. Before a client's first deposit, the Company requires government-issued photo identification, proof of residential address dated within the preceding 3 months, and a description of the intended source of funds. The Company may request additional documentation, including evidence of the source of larger deposits, at any time, and may pause account activity until requested documentation is provided. The Company monitors account activity on an ongoing basis for patterns inconsistent with a client's stated profile and reserves the right to report suspicious activity to the relevant authorities without notice to the client, where required by law.
7. Fees and Charges
The Company may charge various fees for its services, including but not limited to:
Spreads: The difference between bid and ask prices
Commissions: Charges applied per trade or per lot, depending on account type
Overnight Fees: Swap charges for positions held overnight
Inactivity Fee: Charged after 180 days of account inactivity
Deposit and Withdrawal Fees: May vary by payment method
Currency Conversion Fees: Applied when converting between currencies
All applicable fees are disclosed on the Company's website and may be updated with 5 days' prior notice to clients, being not less than the longest standard withdrawal processing time stated in Section 6, so that a client has a genuine opportunity to withdraw funds before a fee change takes effect if they choose to do so.
8. Trading Conditions and Order Execution
Platform Availability: While the Company aims for maximum uptime, platform availability is not guaranteed. The Company is not liable for losses resulting from platform downtime, technical issues, or internet connectivity problems.
Order Execution: Orders are executed at the best available market price. Slippage may occur, particularly during periods of high volatility or low liquidity.
Price Feeds: Prices are derived from the Liquidity Provider and may differ slightly from other sources.
Market Gaps: Price gaps can occur between trading sessions or during volatile market conditions. The Company is not responsible for losses resulting from market gaps.
Trading Hours: Trading hours vary by instrument and are subject to change without notice due to market conditions or public holidays.
9. Margin and Leverage
Margin Requirements: Clients must maintain sufficient margin to support open positions. Margin requirements vary by instrument and account type.
Margin Calls: When account equity falls to the margin call level, clients will be notified to deposit additional funds or close positions.
Stop Out: If account equity falls to the stop-out level, positions may be automatically closed to prevent further losses. Clients are responsible for monitoring their margin levels.
Leverage: Leverage amplifies both potential gains and losses. Maximum leverage varies by account type and instrument.
Negative Balance Protection: Negative balance protection, where applied, is provided in accordance with the policies of the Liquidity Provider and may vary by account type and jurisdiction. Clients should confirm the current position for their account type before trading and should not assume negative balance protection applies unless expressly confirmed.
10. Prohibited Activities
Clients are strictly prohibited from engaging in the following activities:
Market manipulation, including price manipulation or spoofing
Money laundering or terrorist financing
Sharing or transferring account access to third parties
Using unauthorized automated trading systems or bots without approval
Exploiting platform errors or technical glitches
Engaging in fraudulent or deceptive practices
Scalping or arbitrage strategies (if prohibited under specific account terms)
Attempting to reverse engineer or hack the Platform
Using the services for any illegal purposes
Violation of these prohibitions may result in immediate account suspension or termination and forfeiture of profits.
11. Account Termination and Suspension
By Client: Clients may close their accounts at any time by submitting a written request after withdrawing all available funds and closing all open positions.
By Company: The Company reserves the right to suspend or terminate client accounts with immediate effect in the following circumstances:
Violation of these Terms and Conditions
Fraudulent, abusive, or illegal activity
Failure to complete KYC verification
Extended periods of inactivity
Legal or compliance reasons
At the Company's sole discretion for risk management purposes
Upon termination, the Company will return any remaining funds to the client after deducting applicable fees and settling all obligations.
12. Intellectual Property
All content, trademarks, logos, software, and materials on the Platform are the exclusive property of Navion Fx Limited or its licensors and are protected by intellectual property laws.
Clients are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal trading purposes only. Clients may not reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent.
13. Limitation of Liability
To the fullest extent permitted by law:
The Company provides services on an "as is" and "as available" basis without warranties of any kind
The Company is not liable for any trading losses incurred by clients
The Company is not responsible for losses resulting from market conditions, force majeure events, or third-party service failures, including failures of the Liquidity Provider
Under no circumstances shall the Company's total liability to a client exceed the amount of money deposited by that client with the Company
The Company is not liable for indirect, consequential, or punitive damages
Exceptions: This limitation does not apply to losses caused by the Company's fraud, gross negligence, or willful misconduct.
14. Indemnification
Clients agree to indemnify, defend, and hold harmless Navion Fx Limited, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
Client's use of the services
Violation of these Terms and Conditions
Violation of applicable laws or regulations
Infringement of third-party rights
Client's trading activities and decisions
15. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Saint Lucia, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms and Conditions or the use of the services shall be subject to the exclusive jurisdiction of the courts of Saint Lucia.
16. Complaints and Dispute Resolution
Clients who wish to raise a complaint should contact the Company's support team at support@navionpro.com with full details of the issue. The Company will acknowledge complaints within 5 business days and aims to provide a substantive response within 30 days.
If a complaint cannot be resolved through this process, the client and the Company will seek to resolve the matter through good-faith negotiation before either party pursues formal proceedings in accordance with Section 15.
17. Amendments to Terms and Conditions
The Company reserves the right to modify these Terms and Conditions at any time. Material changes will be communicated to clients via:
Email notification to registered email addresses
Prominent notice on the Platform
In-platform notifications
Clients will typically be given 5 days' notice before changes take effect, being not less than the longest standard withdrawal processing time stated in Section 6. Continued use of the services after the effective date constitutes acceptance of the updated terms.
If clients do not agree to the updated terms, they must close their accounts and cease using the services.
18. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to:
Natural disasters, pandemics, or acts of God
War, terrorism, or civil unrest
Government actions or regulatory changes
Technical failures, cyber-attacks, or internet outages
Market disruptions or Liquidity Provider failures
Labor disputes or strikes
19. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
20. Entire Agreement
These Terms and Conditions, together with the Privacy Policy, Risk Disclosure Statement, and any other policies referenced herein, constitute the entire agreement between the client and Navion Fx Limited regarding the use of the services.
These terms supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

22. Restricted Jurisdictions
Services are not available to residents of the jurisdictions listed below. This list is reviewed periodically and may be updated without prior notice; the current version supersedes any prior version.
Tier 1 Countries (Not Served): United States, United Kingdom, European Union member states, Iceland, Liechtenstein, Norway, United Arab Emirates, and any other jurisdiction requiring specific local licensing that the Company does not hold.
Blacklisted Countries (Restricted): Afghanistan, Belarus, Bosnia and Herzegovina, Bulgaria, Crimea and Sevastopol (and other Russian-occupied Ukrainian territories), Cuba, Iran, Iraq, Kenya, Kuwait, Myanmar, North Korea (DPRK), Papua New Guinea, Russia, Somalia, Sudan, Syria, Venezuela, Vietnam, Yemen, Zimbabwe, and any other jurisdiction currently subject to comprehensive international sanctions or named on the current Financial Action Task Force list of jurisdictions under increased monitoring.
This list combines sanctioned jurisdictions and jurisdictions on the current FATF monitoring list. The FATF list is reviewed and revised three times a year; the names above reflect the list as of the effective date of these Terms and should be checked against the current FATF list at each revision.
